Terms of service

The terms that govern your use of Tracent Technologies' products and gateway. Plain language; formal contracts for Enterprise and product lines live in their respective Order Forms.

Effective 1 June 2026.

Acceptance

By creating a Tracent account, signing an Order Form, or accessing the Tracent gateway, you agree to these terms on behalf of yourself or the organisation you represent. If you do not agree, do not use the service.

These terms are between you (or your organisation, the Customer) and Tracent Technologies Limited, a Nigerian company (CAC RC: 1822449) with registered office in Lagos.

What we provide

Tracent operates the Agentic Boundary product line, including the Tracent gateway, the customer console, and the published Tracent MCP server library. The exact features available depend on your subscription tier.

Tracent Enterprise, Tracent MCP Servers, Tracent Mobile, and POS are governed by additional product-specific terms agreed at order time. Where those terms conflict with these, the product-specific terms prevail.

Your account

You are responsible for keeping your credentials confidential, for every action taken with your account, and for ensuring everyone you invite to your team understands these terms.

Notify us immediately at security@tracenttechnologies.com if you suspect unauthorised access. We will rotate keys, revoke sessions, and write the incident to your organisation's audit log.

Acceptable use

You will not use Tracent to break the law, evade financial-services regulation, transmit malware, or process data you do not have a lawful basis to process under the Nigeria Data Protection Act 2023.

You will not attempt to defeat the gateway guardrails, including rate limits, HITL gates, the PII vault, residency checks, or the audit log. The guardrails exist to protect your organisation and your customers as well as ours.

You will not use Tracent to build a competing agentic-commerce gateway. Building services that integrate WITH Tracent is fine and encouraged.

Fees and billing

Subscription fees, usage allowances, and overage rates are set out in your Order Form or in the published pricing on tracenttechnologies.com/pricing for self-serve tiers.

Fees are in Nigerian Naira unless your Order Form states otherwise. We invoice monthly or annually per the Order Form, and we may suspend the service for non-payment after written notice and a 14-day cure period.

Taxes are additional and your responsibility.

Your data

Your customer data and the personal data you process through the gateway remain yours. We process them on your behalf as a Data Processor under the Nigeria Data Protection Act 2023.

We do not use customer data to train any machine-learning model. Aggregated, de-identified telemetry is used to operate and improve the service.

Our Data Processing Addendum, including the list of sub-processors and standard contractual clauses for any out-of-Nigeria processing, is available on request to compliance@tracenttechnologies.com.

Intellectual property

Tracent retains all rights in the gateway, the customer console, and the proprietary parts of our products. The published MCP server library is licensed under MIT and you may use, modify, and redistribute it under those terms.

Your data, your prompts, your tool configurations, and the output your agents produce are yours. We claim no rights in any of them.

Service availability

We target high availability for the gateway and the customer console; the live status page at /status shows current incidents. Specific service-level commitments live in Enterprise Order Forms.

Planned maintenance is announced at least 48 hours in advance via the status page and email to your account contact. Emergency security maintenance may happen without advance notice; we tell you what happened as soon as it is safe to.

Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care and in line with the documented guardrails. Beyond that, the service is provided on an as-is basis and we disclaim all other warranties to the maximum extent permitted by Nigerian law.

Liability

Each party's total aggregate liability under these terms is capped at the fees you paid Tracent in the 12 months before the event giving rise to the claim, or fifty thousand Naira, whichever is greater.

Neither party is liable for indirect, incidental, or consequential losses, including loss of profit, data, or goodwill. Nothing in these terms limits liability for fraud, wilful misconduct, or any liability that cannot be limited by law.

Termination

You may cancel a self-serve subscription at any time from your console settings. Enterprise subscriptions terminate per the Order Form.

We may terminate or suspend the service for material breach of these terms, with at least 14 days written notice and an opportunity to cure where the breach is curable.

On termination, we provide a 30-day window for you to export your data, after which it is deleted in line with our published retention schedule.

Governing law

These terms are governed by Nigerian law. Disputes go first to the courts of Lagos, Nigeria. Either party may seek injunctive relief in any court of competent jurisdiction.

Changes

We update these terms from time to time. The effective date below moves when we do. Material changes are emailed to your account contact at least 30 days before they take effect; for Enterprise customers, changes go through the contract-amendment process in your Order Form.
